Xiaoxiang Terms of Service

Welcome to Xiaoxiang. These Terms are an agreement between you and 西双版纳大地神韵科技有限公司 ("we", "us") covering the Xiaoxiang app and its companion Rider, Store and Driver apps (together "the Service"). Please read these Terms and the Privacy Policy carefully before registering for or using the Service; they take effect once you tick the consent box on the sign-in or registration page.html">Privacy Policy.

1. The Service

The Service offers instant messaging, news, food delivery and dine-in ordering, ride-hailing, maps and navigation. Some features are available only in certain regions; outside the service area they may be limited or unavailable. We may add, change or discontinue features at any time.

2. Accounts

You must be at least 18 years old and have full legal capacity;
Registration details must be accurate; one account per person; accounts may not be transferred, lent or sold;
You are responsible for all activity under your account; keep your password safe and tell us immediately if it is compromised;
Accounts unused for 12 consecutive months may be reclaimed after notice.

3. Acceptable use

You must not use the Service to post, share or engage in:

Anything that violates the laws of your country or region;
Pornography, violence, terrorism, gambling or drug-related content;
Fraud, pyramid schemes, illegal fund-raising or money laundering;
Harassment, abuse, threats, discrimination, or violation of others' privacy or reputation;
Infringement of intellectual property or other rights;
Spam, malicious marketing, impersonation of others or of the Service;
Any form of gambling or paid betting through in-group games;
Attacking, scraping, reverse-engineering or disrupting the Service.

For violations we may remove content, restrict features, suspend or permanently ban the account, and report to authorities where necessary.

4. Your content

You own and are responsible for the content you post. To provide the Service you grant us a licence to store, transmit, display and back up that content as necessary. You may delete your content at any time; backups are purged within a reasonable period unless retention is required by law.

5. Food delivery, dine-in and rides

Merchants, riders and drivers are independent third parties or partners who supply the goods and services; we provide matching, listings and order management;
Prices, delivery fees and estimated times are those shown when you place the order;
Cancelling after a merchant or driver has accepted may incur a cancellation fee as shown on screen;
For problems with an order, delivery or trip, contact the other party from the order page or file a complaint with us; we will assist;
You are responsible for the accuracy of the address and phone number you provide.

6. Reporting and enforcement

You can report content or behaviour from chat, posts, comments and order pages. We review reports within a reasonable time and act under section 3. You may appeal a decision through the contact in section 11.

7. Intellectual property

The software, interface, trademarks (including the Xiaoxiang name and logo), map data and platform content belong to us or the respective rights holders. They may not be copied, modified, distributed, reverse-engineered or used commercially without permission.

8. Disclaimer and limitation of liability

The Service is provided "as is". To the extent permitted by law we are not liable for interruptions, delays or data loss caused by networks, devices, force majeure or third parties;
Map and navigation information is for reference only; obey traffic rules and actual road conditions;
To the maximum extent permitted by law, our total liability to you is limited to the fees you actually paid for the Service in the 12 months before the dispute.

9. Termination

You may stop using the Service and delete your account at any time. We may terminate the Service to you if you breach these Terms. Rights and obligations arising before termination are unaffected.

10. Changes and governing law

We may update these Terms; new versions are published on this page with an effective date and material changes are announced in the app. These Terms are governed by the laws of the People's Republic of China (excluding Hong Kong, Macau and Taiwan). Disputes are to be settled by negotiation, failing which by the competent people's court at our place of business.

小象用户协议

欢迎使用「小象」。本协议是您与西双版纳大地神韵科技有限公司(以下简称「我们」)之间关于使用小象 App 及其配套的骑手、商家、司机端(以下合称「本服务」)的约定。请您在注册或使用本服务前仔细阅读并同意本协议与《隐私政策》;您在登录、注册页勾选同意后,本协议即对您生效。

一、服务内容

本服务提供即时通讯、资讯、外卖与堂食点餐、打车、地图与导航等功能。部分功能仅在特定地区提供;在服务区域之外,相关功能可能受限或不可用。我们可能随时新增、调整或停止部分功能。

二、账号

您须年满 18 周岁并具备完全民事行为能力;
注册信息应真实、准确,一人只能注册一个账号,不得转让、出借或出售账号;
您对账号下的全部行为负责,请妥善保管密码;发现账号被盗用请立即联系我们;
连续 12 个月未登录的账号,我们可在提前通知后予以回收。

三、使用规范

您不得利用本服务发布、传播或从事以下内容或行为:

违反所在国家或地区法律法规的内容;
色情、暴力、恐怖、赌博、毒品等内容;
欺诈、传销、非法集资、洗钱等行为;
骚扰、辱骂、威胁、歧视、侵犯他人隐私或名誉;
侵犯他人知识产权或其他合法权益的内容;
垃圾信息、恶意营销、冒充他人或官方;
利用群内游戏进行任何形式的赌博或有偿对赌;
攻击、爬取、逆向本服务,或干扰其正常运行。

违反上述规范的,我们有权删除内容、限制功能、暂停或永久封禁账号,并在必要时向有关机关报告。

四、您的内容

您对自己发布的内容拥有权利并承担责任。为向您提供服务,您授予我们在必要范围内存储、传输、展示和备份该内容的许可。您可随时删除自己发布的内容;删除后的备份将在合理期限内清除,法律要求保留的除外。

五、外卖、堂食与打车

商家、骑手、司机是独立的第三方或合作方,商品与服务由其提供;我们提供撮合、信息展示与订单管理;
价格、配送费、预计时间以您下单时页面显示为准;
订单被商家或司机接受后取消,可能产生取消费用,以页面提示为准;
如遇商品、配送或行程问题,请通过 App 内的订单页联系对方或向我们投诉,我们将协助处理;
您应对下单时提供的地址、电话等信息的准确性负责。

六、举报与处置

您可以在聊天、动态、评论、订单等页面举报违规内容或行为。我们会在合理时间内核实并按第三条处置。对处置有异议的,可通过第十一条的联系方式申诉。

七、知识产权

本服务的软件、界面、商标(含「小象」名称与图形)、地图数据及平台内容均归我们或相应权利人所有。未经许可,不得复制、修改、传播、反向工程或用于商业目的。

八、免责与责任限制

本服务按「现状」提供。因网络、设备、不可抗力或第三方原因导致的中断、延迟或数据丢失,我们在法律允许的范围内不承担责任;
地图与导航信息仅供参考,请遵守交通规则并以实际路况为准;
在法律允许的最大范围内,我们对您的赔偿责任总额不超过您在争议发生前 12 个月内为该服务实际支付的费用。

九、终止

您可以随时停止使用本服务并注销账号。您违反本协议时,我们可以终止向您提供服务。终止后,双方在终止前产生的权利义务不受影响。

十、协议变更与法律适用

我们可能更新本协议,更新版本发布于本页面并注明生效日期;重大变更会在 App 内提示。本协议适用中华人民共和国法律(不含港澳台地区法律)。因本协议产生的争议,双方应友好协商;协商不成的,提交我们所在地有管辖权的人民法院解决。
